TERMS OF SERVICE

1. Acceptance of Terms

By registering for or using the FRATELLI LEO SRL B2B wholesale platform ("Platform"), you ("Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and FRATELLI LEO SRL.

2. Eligibility — B2B Only

This Platform is exclusively for registered businesses (garages, dealerships, fleet operators, and parts resellers). By registering, you represent and warrant that:

• You are acting on behalf of a legally registered business entity.
• You hold a valid VAT number (P.IVA or equivalent) in your country of registration.
• You have the authority to bind your company to these Terms.
• You are at least 18 years of age.

Individual consumers are not eligible to register. FRATELLI LEO SRL reserves the right to verify business credentials and reject or terminate accounts that do not meet eligibility requirements.

3. Account Registration and Approval

Account activation is subject to review and approval by FRATELLI LEO SRL. During the review period (typically 24–48 business hours), you may not place orders or view pricing. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information as necessary. FRATELLI LEO SRL may suspend or terminate accounts with inaccurate or fraudulent information.

4. Products, Pricing, and Availability

All prices are displayed in EUR (Euro) and are exclusive of VAT unless otherwise stated. Prices are subject to change without notice. Product availability is not guaranteed; FRATELLI LEO SRL will notify you if an ordered item is unavailable.

All products listed are genuine OEM parts sourced from authorized distributors. FRATELLI LEO SRL does not sell aftermarket or counterfeit parts. Product descriptions and images are provided for reference only; minor variations may exist.

Tiered pricing discounts are applied based on your account's approved discount tier. FRATELLI LEO SRL reserves the right to modify discount tiers at any time.

5. Orders and Cancellations

Orders are binding upon placement. Confirmed, processing, or shipped orders cannot be cancelled unilaterally — a cancellation request must be submitted through the Platform and requires approval from FRATELLI LEO SRL. Pending orders may be cancelled directly by the Customer before confirmation.

FRATELLI LEO SRL reserves the right to cancel any order at its discretion, including in cases of pricing errors, stock unavailability, or suspected fraud. In such cases, a full refund will be issued.

6. Payment

Payment is due at the time of order placement unless a credit account has been established. We accept major credit/debit cards (Visa, Mastercard, American Express) and bank transfers for qualifying orders. All payments are processed securely via Stripe. FRATELLI LEO SRL does not store card details.

For bank transfer orders, goods will be dispatched upon receipt of cleared funds. Late payment may result in order cancellation and account suspension.

7. Shipping and Delivery

Estimated delivery times are provided as guidance only and are not guaranteed. Risk of loss and title for products pass to the Customer upon dispatch. FRATELLI LEO SRL is not liable for delays caused by carriers, customs, or force majeure events.

Shipping costs are calculated at checkout. International orders may be subject to import duties and taxes, which are the Customer's sole responsibility.

8. Returns and Refunds

Returns are accepted within 14 days of delivery for items in original, unopened condition. Special-order parts and electrical components are non-returnable. To initiate a return, contact [email protected] with your order number and reason for return.

Refunds will be processed within 14 business days of receiving the returned goods. Shipping costs for returns are the Customer's responsibility unless the return is due to an error by FRATELLI LEO SRL.

9. Intellectual Property

All content on the Platform, including but not limited to text, images, logos, and software, is the property of FRATELLI LEO SRL or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FRATELLI LEO SRL shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or products purchased through it. Our total liability shall not exceed the amount paid for the specific order giving rise to the claim.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Italy. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Milano, Italy. For EU consumers, the European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr.

12. Changes to Terms

FRATELLI LEO SRL reserves the right to modify these Terms at any time. Changes will be communicated via email and posted on the Platform. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
